What's the next step after submitting my EOI?
After Expression of Interest (EOI), we'll initiate corporate actions to call an EGM for the initial subscription issue through private placement and submission with the Ministry of Corporate Affairs (MCA). An offer letter with the fundraising goal will be sent to interested investors who filled the EOI form, for their acceptance and payment within the offer open and close date

As per SEBI regulations, you can increase your investment amount by submitting a revised application or a fresh application before the offer closing date, subject to the maximum limit specified in the offer letter. However, please check the offer letter and consult with our support team for specific conditions.

If you fail to make the payment before the offer closing date, your application will be considered invalid, and the allotment of shares will not be made. Your payment, if already made, will be refunded as per the process. Please ensure timely payment to avoid any issues.

Equity allotment in Talkfever involves the following steps:
- Application and EOI: Investors submit their Expression of Interest (EOI) and application through the investor portal.
- Validation and Verification: We verify the investor's details, KYC, and application.
- Allotment Process: Post verification, shares are allotted based on the investment amount and the offer price.
- Allotment Advice: An allotment advice is generated and shared with the investor, detailing the number of shares allotted.
- Dematerialization: Shares are credited to the investor's demat account.
- Confirmation: Investors receive a confirmation of the allotment and can view their shareholding in their demat account.

How do I dematerialize my shares?
Dematerializing your shares in Talkfever involves the following steps:
You'll need to provide your:- Open a Demat Account: If you don't have a demat account, open one with a Depository Participant (DP) like a bank or brokerage firm.
- Get Your DP Account Details: Share your demat account details with us, including the DP ID and Client ID.
- Submit Demat Request: We'll initiate the dematerialization process based on your request.
- Verification: Your DP will verify the request and confirm the shares to be dematerialized.
- Shares Credited: Once verified, your shares will be credited to your demat account electronically.
- Confirmation: You'll receive a confirmation from your DP, and you can view your demat account to verify the shares.
- Demat account details (DP ID and Client ID) & Client Master (CMR) of NSDL/CDSL
- PAN card copy
- Other documents as required by your DP

Talkfever's valuation is based on two components:- Investor Portal: Log in to the Talkfever investor portal to view updates on company performance, financials, and your shareholding details.
- Daily Performance Tracking: Use the Daily Performance Tracking feature on the portal to monitor Talkfever's performance.
- Email Updates: We'll send periodic updates on company performance, financials, and other relevant information.
- Talkfever Website/News: Visit our website and social media channels for company news and announcements.
- Internal Valuation: Our internal team assesses the company's value in real-time, considering factors like:
- Userbase growth and engagement
- Key asset value (technology, content, etc.)
- Revenue and financial performance
This internal valuation provides a current snapshot of the company's value.
- External Valuation: A SEBI registered valuer conducts a periodic (quarterly) valuation, providing an independent assessment of the company's value. This external valuation ensures transparency and credibility.
The investor portal combines these valuations to display the current value of your shares. You can also access detailed reports and explanations on the valuation methodology on the portal.

How do I exit my investment?
Exiting your investment in Talkfever involves the following steps and considerations:
- Sale to Third Party: Transfer shares to another investor (family, friends, relatives, colleague) at the offer price with company approval, subject to regulatory compliance.
- Sale to Existing Shareholders: Create your own offer and publish live or reach out to existing shareholders through our support team if you want to exit before Pre-IPO/IPO milestone.
- Sale in Retail: Use the upcoming live buy and sell terminal to break your share quantity into small tranches for retail investor buyers at the current dynamic price. Note: SEBI-defined limits apply to retail investors.
- Secondary Market Trading: Sell shares on secondary marketplaces or platforms that facilitate trading of Talkfever's unlisted shares (if onboarded), subject to regulations and trading rules.
- Buyback: Talkfever may initiate a buyback of shares as per regulatory guidelines and company policies.
Process
- Check Eligibility: Ensure you meet the eligibility criteria for exit, as per the terms of investment and regulations.
- Initiate Request: Submit an exit request through the investor portal or contact our support team for guidance.
- Documentation: Complete required documentation, like share transfer forms, as applicable and sign DIS (Delivery Instruction Slip) and submit it to your DP to initiate transfer via NSDL/CDSL.
- Regulatory Compliance: Ensure compliance with SEBI regulations and other applicable laws.
